Terms & Conditions
Last updated: September 2026 · These terms govern the use of uturndigital.com.bd and general service engagements with UTurn Digital Solutions.
These Terms & Conditions (“Terms”) form an agreement between you and UTurn Digital Solutions (“we”, “us”), a digital agency based in Dhaka, Bangladesh. By using this website or engaging our services, you accept these Terms. Specific projects are governed by the applicable proposal, quotation or contract, which prevails over these general Terms where they differ.
1. Definitions
- “Services” — digital marketing, advertising, website and IT solutions, e-commerce, creative design, printing and branding, business consulting and IoT/electronics solutions offered by us.
- “Client” — the person or organisation that engages us.
- “Deliverables” — websites, campaigns, creative assets, reports and other work produced for the Client.
- “Proposal” — the written scope, timeline and price document we issue for a project.
2. Using this website
You may use this website for lawful purposes only. You agree not to misuse the site — including attempting unauthorised access, submitting false information through our forms, scraping content, or using our brand and materials without permission. Content on this site, including text, design and graphics, belongs to UTurn Digital Solutions unless stated otherwise.
3. Quotations, proposals and acceptance
Every engagement starts with a proposal or quotation describing scope, timeline, deliverables and price. Quotations are valid for 15 days unless stated otherwise. Work begins after written acceptance (email or signed document) and receipt of any agreed advance payment. Requests outside the accepted scope are treated as change requests (section 5).
4. Fees, payment and taxes
- All fees are quoted and payable in Bangladeshi Taka (BDT) unless agreed otherwise in writing.
- Unless the proposal states differently, projects begin after an advance (typically 50%) with the balance due on delivery or handover. Running services (e.g. monthly marketing retainers) are invoiced monthly in advance.
- Advertising budgets paid to platforms such as Meta or Google are separate from our service fees and are payable by the Client unless we agree to manage them as a pass-through with adequate funds in advance.
- Invoices are payable within the stated period. Applicable VAT or taxes, if any, are stated separately on invoices.
5. Revisions, changes and approvals
Each deliverable includes the revision rounds stated in the proposal. Extra revisions or scope changes are quoted separately before work continues. After we submit a deliverable for review, the Client is expected to give feedback or approval within 10 business days; if no response is received, the deliverable is treated as approved and any resulting delay shifts the timeline accordingly.
6. Client responsibilities
To deliver on time we need the Client to: provide accurate information, materials (text, images, logos, brand assets) and access credentials in good time; hold rights or licences for materials they supply; ensure their products, services and claims are legal; respond to approvals promptly; and keep their own platform accounts, payments and renewals in good standing. Delays in providing these extend project timelines proportionally.
7. Timelines and delays
We commit to the schedule in the proposal. Timelines may shift by mutual agreement, due to Client delays (section 6), third-party dependencies (domain, hosting, ad-platform reviews, print vendors) or events outside our reasonable control (section 13). We will always inform the Client promptly about material delays and revised dates.
8. Third-party services and advertising platforms
Our work often involves third-party platforms (Meta, Google, hosting providers, payment gateways, print vendors). Their policies, pricing, approvals and availability are beyond our control. We manage these professionally, but we cannot guarantee uninterrupted service or specific platform outcomes that the platform itself does not guarantee.
9. Intellectual property
- On full payment, the Client receives the rights to the final Deliverables as described in the proposal.
- We retain ownership of pre-existing tools, frameworks, know-how and internal systems used to produce the work, and may reuse general skills and experience gained.
- Third-party and licensed assets (stock images, fonts, plugins, music) are delivered under their own licences, which the Client must respect.
- Unless the Client asks otherwise in writing, we may display completed work in our portfolio and marketing, with respect for confidentiality.
- All rights to this website and its content remain with UTurn Digital Solutions.
10. Confidentiality
Each party will keep the other’s confidential information (business data, pricing, strategies, credentials, unpublished materials) private and use it only for the engagement, and will protect it with at least reasonable care. This obligation continues after the project ends.
11. Warranties and disclaimers
We provide Services with professional skill and care. However, we do not promise specific business results — such as exact lead volumes, revenue figures, search rankings or ad performance numbers — unless explicitly guaranteed in a signed proposal. This website is provided “as is”, without warranties of uninterrupted availability or error-free content. Nothing in these Terms excludes liability that cannot be excluded by law.
12. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of an engagement is limited to the service fees actually paid by the Client for the work giving rise to the claim. Neither party is liable for indirect or consequential losses (such as lost profits or data) arising from the other’s use of the Services, except where caused by fraud, wilful misconduct or gross negligence.
13. Suspension, termination and force majeure
Either party may end a running service with the notice period in the proposal. We may pause work if invoices remain overdue, or if the Client misuses our team or materials. Completed work and fees earned up to termination remain payable. Neither party is liable for failure caused by events beyond reasonable control — natural disasters, epidemics, strikes, war, government action, internet or power failures.
14. Governing law and jurisdiction
These Terms and all engagements are governed by the laws of the People’s Republic of Bangladesh. The parties will first try to resolve disputes amicably; failing that, the courts of Dhaka, Bangladesh have exclusive jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. The version published on this page applies to website use immediately, and to new engagements from the date quoted. Continued use of the site after changes means you accept the updated Terms.
